Reseller Policy

§1 Definitions

1. "Reseller" refers to any legal or natural person who has entered into an agreement with PUQ sp. z o.o. (hereinafter referred to as "Our Company") to become a reseller for the sale of products and services offered by PUQ sp. z o.o.
2. "Products and services" encompass the goods and services provided by PUQ sp. z o.o. and sold by the Reseller to customers based on the agreement between the Reseller and PUQ sp. z o.o.

§2 Reseller Status

1. This policy establishes the terms and conditions that the Reseller must agree to and comply with in their capacity as a reseller of PUQ sp. z o.o.
2. The Reseller acknowledges that they are not an agent or representative of PUQ sp. z o.o. but acts independently based on the agreement between the Reseller and PUQ sp. z o.o.
3. The Reseller is authorized to sell PUQ sp. z o.o.'s products and services to customers, adhering to the terms, policies, and procedures set by PUQ sp. z o.o.
4. The Reseller undertakes to provide accurate and reliable information to customers regarding PUQ sp. z o.o.'s products and services, refraining from providing knowingly false or misleading information.
5. The Reseller agrees to fulfill all obligations stipulated in the agreement between the Reseller and PUQ sp. z o.o., including but not limited to, payment and transmission of customer data to PUQ sp. z o.o. for order processing and customer service purposes.
6. PUQ sp. z o.o. reserves the right to terminate cooperation with the Reseller at any time and at its discretion without providing reasons.

§3 Reseller Responsibilities

1. The Reseller shall comply with all applicable laws and regulations in their activities related to the sale of PUQ sp. z o.o.'s products and services.
2. The Reseller is responsible for providing qualified customer service and addressing customer inquiries and issues related to PUQ sp. z o.o.'s products and services in accordance with PUQ sp. z o.o.'s policies and procedures.
3. The Reseller is accountable for their actions and agrees not to provide unlawful, unethical, or illegal information or engage in unfair sales practices when promoting and selling PUQ sp. z o.o.'s products and services.
4. The Reseller shall maintain confidentiality and protect information provided by PUQ sp. z o.o., including customer information, pricing, agreement terms, and other confidential data.
5. The Reseller agrees to provide PUQ sp. z o.o. with information on sales, volumes, and other reports that may be required by PUQ sp. z o.o. for accounting purposes and business analysis.

§4 Reseller Liability

1. The Reseller is fully responsible for their actions and any non-compliance with the provisions of this policy or the agreement between the Reseller and PUQ sp. z o.o.
2. The Reseller agrees to indemnify PUQ sp. z o.o. for any losses, expenses, or claims arising from the actions or inactions of the Reseller, including violations of laws or third-party rights.

§5 Changes and Termination of Cooperation

1. PUQ sp. z o.o. reserves the right to make changes to this policy at its discretion. The Reseller will be notified of any changes to the policy and is obligated to adhere to them.
2. PUQ sp. z o.o. also reserves the right to terminate cooperation with the Reseller at any time at its discretion by providing written notice of termination to the Reseller.
3. Upon termination of cooperation, the Reseller shall cease using the trademarks, logos, and other intellectual property of PUQ sp. z o.o. and return any confidential data or information provided by PUQ sp. z o.o.

§6 Final Provisions

1. This policy constitutes a legally binding agreement between the Reseller and PUQ sp. z o.o.
2. If any provision of this policy is found to be invalid, the remaining provisions shall remain in effect.
3. Any disputes arising from this policy shall be resolved in accordance with the applicable laws and jurisdiction governing PUQ sp. z o.o.
4. This policy comes into effect upon the Reseller's signature and remains valid for the duration of the cooperation between the Reseller and PUQ sp. z o.o.
